In this Energy Mergers and acquisition litigation hearing on motion to dismiss, plaintiff St. Nevan US Limited, a minority shareholder alleged Cogent Incs board of directors of breached the companys fiduciary duties by recommending its shareholders to accept 3M Incs tender offer of $10.50 per share, which the plaintiff claimed was an inadequate price which was due to an unfair sales process.
